Services overview
KiloByte Collective ("we," "us," or "our") is a technology services company headquartered in the State of Texas. We provide applied-AI technology solutions including operational diagnostics, custom system design and development, automation, data infrastructure, and ongoing technology partnership services for businesses.
Engagement terms
All engagements begin with a scoping process to define deliverables, timelines, and pricing. The specific terms of each engagement will be outlined in a separate Statement of Work (SOW) or service agreement.
- Diagnostic engagements are project-based with defined scope and deliverables.
- Build engagements include clear milestones, acceptance criteria, and deployment timelines.
- Ongoing partnership engagements are governed by annual contracts with defined service levels.
- Either party may terminate an engagement as specified in the applicable SOW or service agreement.
Intellectual property
Unless otherwise agreed in writing:
- Client-owned work product: custom systems, integrations, and deliverables built specifically for your business are owned by you upon full payment.
- KiloByte tools & frameworks: general-purpose tools, frameworks, and methodologies developed by KiloByte Collective remain our intellectual property. You receive a perpetual, non-exclusive license to use them as part of your delivered solution.
- Pre-existing IP: each party retains ownership of any intellectual property that existed prior to the engagement.
Limitation of liability
To the maximum extent permitted by applicable law:
- Our total liability for any claims shall not exceed the total fees paid for the specific engagement giving rise to the claim.
- We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- We are not liable for delays or failures caused by circumstances beyond our reasonable control, including third-party service outages, force majeure, or client-side infrastructure issues.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary and sensitive information exchanged during the engagement. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or as necessary to perform the services.
Governing law
These Terms and any disputes shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action shall be brought exclusively in the state or federal courts located in the State of Texas.
Changes to these terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the revised terms.
